Case Study: ActekSoft Outright Sale
Founded in 1999, ActekSoft (Actek) delivered commission, incentive compensation and compliance software solutions for complex selling environments primarily in the insurance and general healthcare payer markets. Actek, once listed by Gartner as a key player in the developing enterprise incentive management industry, positioned itself at the forefront through a focus on delivering user-configurable software, responsive customer service and competitive pricing.
While Actek had built a solid foundation and had numerous opportunities for growth, the company was capital constrained and had strategic buyers inquiring about purchasing the company. Actek decided that, based on the circumstances, selling was the right direction to take. But based on the owners’ past experience, they knew they needed an advisor to assist them with the process. Actek sold to Callidus Software, now CallidusCloud a publicly-traded company (NASDAQ: CALD), accomplishing what Actek shareholders wanted in the process, including 1) aligning the company and team with a larger and more diverse platform to enable faster growth, 2) providing an ongoing role for owners to maintain leadership in the acquiring company, and 3) establishment of a clear, multifaceted strategy that provided current liquidity and the opportunity to realize upside in the future.
